3. Prices Policy

The Company reserves the right to revise its prices at any time prior to accepting an Order.

The prices quoted may be revised by the Company subsequent to accepting an Order in the event of any occurrence affecting delivery caused by government action, variation in customs duties, increased shipping charges, higher foreign exchange costs and any other matter beyond the control of the Company. In that event, You will have the right to cancel Your Order.

4. Fees & Payments

To access certain features of our Service, you may be required to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged.

All fees are in U.S. dollars and are non-refundable. If we changes the fees for the Service, including by adding additional fees or charges, we will provide you with advance notice of those changes.

If you choose a recurring subscription for our Service, you acknowledge that payments will be processed automatically (e.g., debited from your bank account or charged to your credit card) until you cancel the subscription or the account. You agree to provide us with complete and accurate billing and contact information and to keep that information up-to-date throughout your subscription period. This information includes your legal company name, street address, e-mail address, and the name and telephone number of an authorized billing contact.

By providing a payment method, you expressly authorize us and our third-party payment processor to charge the applicable fees on said payment method as well as taxes and other charges incurred thereto at regular intervals, all of which depend on your particular membership and utilized services.

5. Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Humaan customer support team.

A valid payment method, including credit card or debit card, is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Humaan to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, We will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

6. Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors.

The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

7. Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Humaan, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your sole and exclusive right and remedy in case of dissatisfaction with the Service or any other grievance shall be your termination and discontinuation of access to, or use of the Service.

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period.
